1. About SurgeDex

SurgeDex is a non-custodial, browser-based interface (the "Interface") that allows users to interact with the Hyperliquidprotocol. SurgeDex is a white-label front-end: all order placement, position management, deposits, withdrawals and execution occur on Hyperliquid's on-chain infrastructure. SurgeDex does not custody user funds, route orders off-chain, match trades, or operate any exchange itself.

2. Eligibility

By using the Interface you represent that you are at least 18 years old, legally capable of entering into binding agreements, and not a resident of any jurisdiction in which use of the Interface or Hyperliquid would violate local law (including, without limitation, jurisdictions where derivatives trading is restricted to retail users). You are solely responsible for compliance with applicable laws, regulations, and tax obligations in your jurisdiction.

3. No Account, No Custody

SurgeDex does not require an account, email, password or any personal identifier. Access is established exclusively by connecting a self-custodied Web3 wallet. SurgeDex never holds, transfers or has access to your primary wallet private keys, seed phrases or funds. You are solely responsible for the security of your wallet, keys and any agent / sub-wallet you authorize. The limited exception for mirror trading agent keys is described in Section 5 below.

4. AI Trading Bots (Paper Mode)

The Interface includes optional automated trading agents powered by third-party AI model providers (such as OpenAI, Anthropic, Google, DeepSeek, xAI and Kimi). In paper trading mode, positions and P&L are simulated on SurgeDex's infrastructure and do not involve real funds or real orders on Hyperliquid unless you explicitly enable mirror trading (Section 5). You acknowledge and agree that:

  • Trade decisions are produced exclusively by the AI models you select. SurgeDex does not employ analysts, signal providers or human traders.
  • AI outputs are probabilistic, may be incorrect, and may be affected by training cut-offs, prompt design, model availability and rate limits.
  • You are solely responsible for the agent configuration, risk envelope, and capital you allocate.
  • SurgeDex makes no representation that any agent will be profitable. Past simulated or live performance is not indicative of future results.

5. Mirror Trading / Copy Trading

The Interface offers an optional "Mirror Trading" feature that allows you to automatically replicate the paper-trading signals of one or more AI agents as real, live orders on your own Hyperliquid account. By enabling mirror trading, you expressly acknowledge and agree to all of the following:

  • Server-side key storage. To execute trades on your behalf, SurgeDex requires your Hyperliquid agent wallet private key (a dedicated sub-wallet, not your primary wallet). You transmit this key to SurgeDex servers over an encrypted connection, and it is stored in server-side encrypted storage solely for the purpose of signing mirror orders. You should only ever use a dedicated agent wallet for this purpose and must ensure it has only the permissions and funds necessary for mirror trading.
  • You authorise automated execution. By enabling mirror trading for an agent, you grant SurgeDex permission to submit market orders to Hyperliquid on your behalf at any time the mirrored agent opens or closes a position, for as long as the subscription remains active and unpaused.
  • Real funds, real losses. Mirror trades execute with real capital on your Hyperliquid account. You can and will incur real financial losses. The risk parameters you configure (risk amount per trade) determine your exposure. You alone are responsible for sizing this appropriately.
  • No guarantee of execution. SurgeDex does not guarantee that every paper signal will result in a corresponding mirror order being placed, filled, or filled at the same price. Mirror execution depends on SurgeDex server availability, Hyperliquid API availability, network conditions, and order book liquidity. Failures, delays, partial fills or rejections are possible and will not give rise to any liability on the part of SurgeDex.
  • Divergence from paper results.Mirror trade outcomes will differ from the paper trading P&L shown on the leaderboard. Differences arise from fill price divergence, size scaling, fees, slippage, timing delays, and rejected orders. Paper performance is not a representation of what mirror trading will achieve.
  • Pausing does not close positions. Pausing or stopping a mirror subscription stops new orders from being placed. Existing open mirror positions on your account remain open and are your responsibility to manage. SurgeDex will continue to execute close orders for positions opened prior to pausing if the corresponding paper agent closes those positions.
  • SurgeDex is not your broker or fiduciary. Mirror trading is an automated execution service, not investment management, financial advice, or brokerage. SurgeDex acts solely as a technical intermediary and has no duty of care with respect to the trading outcomes of your account.
  • Revocation. You may stop any mirror subscription and revoke the agent key at any time through the Interface. SurgeDex will cease using the stored key once all active subscriptions from that key are removed. You should also rotate or decommission the agent wallet on Hyperliquid directly to ensure no residual authorisation remains.

SurgeDex, its operators, contributors and affiliates accept no liability for any losses, damages or missed opportunities arising from mirror trading, including but not limited to: AI agent decisions, execution failures, server downtime, order rejections, unfavourable fills, or your misconfiguration of risk parameters.

6. No Investment Advice

Nothing on the Interface — including the AI agent outputs, scan logs, performance dashboards, mirror trading signals, or any marketing material — constitutes investment, financial, legal or tax advice. You should consult a licensed professional before making any trading decision.

7. Use of the Interface

You agree not to:

  • Use the Interface for any unlawful, fraudulent or abusive purpose.
  • Attempt to reverse engineer, exploit, or interfere with the Interface or its underlying smart contracts.
  • Use the Interface to evade sanctions, anti-money-laundering laws, or to engage in market manipulation.
  • Provide agent wallet keys for accounts that belong to or are controlled by third parties without their explicit consent.

8. Fees & Third-Party Services

Trading fees, funding, and on-chain gas are determined by Hyperliquid and the underlying network. AI provider API costs (where you supply your own keys) are billed by the provider directly. SurgeDex may introduce front-end fees in the future and will disclose them in advance.

9. No Warranty

The Interface is provided "as is" and "as available"without warranties of any kind, express or implied. SurgeDex does not warrant that the Interface will be uninterrupted, error-free, secure, or that any specific result will be achieved through its use. This disclaimer applies in full to the mirror trading feature.

10. Limitation of Liability

To the maximum extent permitted by law, SurgeDex, its operators, contributors and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenues, data, capital, goodwill or other intangible losses, arising out of or in connection with your use of the Interface — including without limitation losses caused by AI agent decisions, mirror trading execution failures or delays, smart contract bugs, network outages, oracle failures, liquidations, or third-party provider downtime.

11. Indemnification

You agree to indemnify and hold harmless SurgeDex and its operators against any claim, damage, loss, liability or expense arising from your use of the Interface, your trading activity (including mirror trading), your storage of agent wallet keys with SurgeDex, your violation of these Terms, or your violation of any law or third-party right.

12. Modifications

We may update these Terms at any time. Material changes will be reflected in the "Last updated" date above. Continued use of the Interface after an update constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. Disputes will be resolved exclusively through binding arbitration where permitted by applicable law.
